Terms & Conditions
Harborians - Business Partner WaiverBy registering as a participating business, I confirm that:1. I will honour the agreed discount or offer for all valid Harborians Card holders during normal trading hours, or as otherwise stated in my business offer.2. I will ensure that all relevant staff are aware of the Harborians Card, the agreed offer, and how to verify and apply it correctly. This includes checking that the member's name matches their payment card or other reasonable proof of identity, that the membership has not expired, and that the card is marked ACTIVE.3. I will not withdraw, pause or amend the agreed offer without giving Harborians at least 30 days' written notice by emailing [email protected].4. I may refresh or update my offer from time to time, including through seasonal promotions or event-specific deals, and I will notify Harborians of any changes in writing.5. I understand that Harborians may from time to time suggest collaborations, joint promotions or member events, and that participation in any such activity is entirely optional.6. I give Harborians permission to use my business name, logo, images and a short business description across its website, newsletter, social media and related promotional materials.7. I have read and agree to the Harborians Business Partner Terms & Conditions linked below.8. 1. About These Terms
These terms and conditions ("Terms") form the agreement between Harborians ("Harborians", "we", "us", "our") and the participating business ("Partner", "you", "your") regarding your inclusion in the Harborians membership programme and business directory.By signing the Partner registration form, waiver or otherwise agreeing to participate, you confirm that you have read, understood and accepted these Terms in full.Harborians is a community membership platform connecting members with independent local businesses across Market Harborough and the wider Harborough District.Contact us: [email protected] · harborians.com2. Partnership Overview
As a Harborians Partner, your business may be listed on the Harborians website, business directory and promotional materials. In return, you agree to offer an exclusive discount or special offer to valid Harborians Card holders.The partnership is intended for independent businesses operating in Market Harborough and the wider Harborough District, or such surrounding areas as Harborians may approve from time to time.There is no fixed term. The partnership continues on a rolling basis until either party terminates it in accordance with Section 10 of these Terms.3. Your Discount or Offer
3.1
You will choose the discount or offer you wish to provide to Harborians members. This may be a percentage discount, a fixed amount off, a free item, an upgrade or another offer of your choosing.3.2
The agreed offer must be honoured for all valid Harborians Card holders during your normal trading hours unless otherwise agreed in writing with Harborians.3.3
If you wish to change, amend, pause or withdraw your offer, you must give Harborians at least 30 days' written notice by emailing [email protected]. Changes will not take effect until confirmed by Harborians and updated across relevant platforms.3.4
Harborians reserves the right to feature your offer in newsletters, social media posts, the Harborians website, business directory and other promotional materials.4. Refreshing Offers and Seasonal Promotions
4.1
Harborians encourages Partners to keep their offers fresh, relevant and engaging for members. We welcome seasonal offers, limited-time promotions, event-specific deals and other creative ideas that reflect your business and the time of year.4.2
If you wish to add a new offer, update your existing offer or run a short-term promotion, please notify Harborians by emailing [email protected]. We will update your listing and promote the new offer across our channels as soon as reasonably practicable.4.3
Harborians may from time to time contact Partners ahead of key dates or seasonal periods to discuss potential themed or collaborative promotions. Participation in any seasonal campaign is voluntary.4.4
Partners are encouraged to consider how their offer may evolve over time to maximise engagement with Harborians members and encourage repeat visits.5. Collaborations and Events
5.1
Harborians may from time to time propose collaborations, joint promotions, pop-up events, community events, networking opportunities or member experiences in partnership with participating businesses.5.2
There is no obligation to participate. Any collaboration or event will be discussed and agreed between both parties in advance. Partners will never be committed to an event or promotion without their express agreement.5.3
If you are interested in hosting a Harborians member event at your premises, such as a tasting evening, workshop, networking event or wellness session, please get in touch. We are always open to ideas that benefit both your business and the Harborians community.5.4
Where a Partner hosts or co-hosts an event in collaboration with Harborians, the Partner is responsible for ensuring that they hold appropriate public liability insurance and that all relevant health and safety requirements are met at their premises.5.5
Harborians may promote any agreed collaboration or event across its platforms and membership channels.6. Harborians Card Verification
6.1
The Harborians Card is a digital membership card stored in the member's Apple Wallet or Google Wallet and displayed on their phone. Members must present a valid, active Harborians Card to redeem your offer, unless an online code or other written method of redemption has been specifically approved by Harborians.6.2
You and your staff are responsible for checking that the card presented is valid before applying any discount or offer. Verification should include checking:the member's name on the Harborians Card;
that the membership status is active;
that the expiry date has not passed; and
where reasonably required, that the name matches the name on the customer's payment card or other reasonable proof of identity.
6.3
Harborians may provide guidance and training materials on how to identify and verify a valid Harborians Card.6.4
Harborians is not liable for any loss arising from a Partner applying a discount or offer without properly verifying the customer's Harborians Card.7. Staff Training and Awareness
7.1
You are responsible for ensuring that all relevant staff are aware of the Harborians Card, the agreed offer, and how to verify and apply it correctly.7.2
New staff should be briefed on the partnership as part of their onboarding. Harborians may provide training materials or guidance on request.7.3
Harborians is not responsible for any loss, complaint or dispute arising from staff not being aware of, misunderstanding or failing to honour the agreed offer.8. Signage and Display
8.1
Harborians may provide you with partner signage, window stickers or related promotional materials for display at your premises.8.2
Where signage is provided, you agree to display it in a reasonably visible location, such as a front window, entrance door or counter area, so that members can identify your business as a participating Harborians Partner.8.3
If the partnership ends, you agree to remove any Harborians signage and promotional materials within 14 days of the termination date.9. Use of Your Business Name, Logo and Content
9.1
You grant Harborians permission to use your business name, logo, images, profile photo and a short description of your business across the Harborians website, newsletter, social media channels, printed materials and other Harborians promotional platforms.9.2
Harborians will aim to represent your business fairly and accurately. If you have any brand guidelines or usage requirements you would like us to follow, please provide them in writing.9.3
You may request the removal of specific content featuring your business at any time by contacting Harborians in writing. We will aim to action reasonable requests within 14 days.10. Termination
10.1
Either party may terminate this partnership at any time by providing at least 30 days' written notice by emailing [email protected].10.2
Upon termination, you agree to stop offering the Harborians discount or offer and to remove Harborians signage within 14 days. Harborians will remove your business from active listings and promotional materials within a reasonable timeframe.10.3
Harborians reserves the right to terminate the partnership immediately if the Partner:brings Harborians into disrepute;
consistently fails to honour the agreed offer; or
materially breaches these Terms.
10.4
If Harborians offers any paid promotional or featured business products in future, any additional cancellation or subscription terms for those products will apply alongside these Terms where relevant.11. Liability
11.1
Harborians acts as a promotional platform connecting members with local businesses. Harborians is not responsible for the products, services, quality or customer experience provided by Partner businesses.11.2
Any dispute between a Harborians member and a Partner business is a matter between those parties. Harborians may, at its discretion, assist in resolving complaints but is not liable for any loss, damage, cost or claim arising from such disputes.11.3
The Partner is responsible for ensuring that its offer complies with all applicable laws, regulations, consumer protection requirements and trading standards.11.4
To the fullest extent permitted by law, Harborians' total liability to any Partner under or in connection with these Terms shall be limited to £100 where no fees have been paid by the Partner, or if fees have been paid, to the total amount paid by the Partner to Harborians in the 12 months preceding the event giving rise to the claim, whichever is greater.11.5
Nothing in these Terms limits or excludes liability for:death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot lawfully be limited or excluded.
12. Data and Privacy
12.1
Any personal data shared between Harborians and the Partner will be handled in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and any other applicable data protection legislation.12.2
Harborians will not share member personal data with Partner businesses except where necessary, lawful and transparently communicated. Members will usually redeem offers by presenting their Harborians Card in person or, where applicable, by using an approved online discount code.12.3
Where a member redeems an online-only offer or books in advance, the Partner may ask the customer to present their Harborians Card on arrival or provide another reasonable form of proof of active membership.12.4

13.1
Harborians may update these Terms from time to time.13.2
Where changes are material, Partners will be given at least 30 days' notice in writing before the updated Terms take effect.13.3
Continued participation in the Harborians programme after notification of updated Terms will constitute acceptance of those updated Terms. If you do not agree to the updated Terms, you may terminate the partnership in accordance with Section 10 before the changes take effect.14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
